TERMS AND CONDITIONS OF USE

IMPORTANT: Please read these Terms and Conditions carefully before using the
Tradxng.com platform. By accessing or using this website, you confirm that you
have read, understood, and agreed to be bound by these Terms. If you do not
agree, you must discontinue use of this platform immediately.

1. INTRODUCTION

Welcome to Tradxng.com (“the Platform”, “we”, “us”, or “our”). Tradxng.com is
an online marketplace that connects buyers and sellers across Nigeria and beyond,
enabling the listing, discovery, and trade of goods and services between
individuals and businesses (B2B and B2C transactions).

These Terms and Conditions (“Terms”) govern your access to and use of the
Platform, including all features, content, and services available through
www.tradxng.com. These Terms constitute a legally binding agreement between you
(“User”, “you”, or “your”) and the operators of Tradxng.com.

By registering an account, creating a listing, making an enquiry, or otherwise
using the Platform in any way, you agree to comply with and be bound by these
Terms in their entirety.

2. ELIGIBILITY

To use Tradxng.com, you must:

Be at least 18 years of age or the age of legal majority in your
jurisdiction, whichever is higher;
Have the legal capacity to enter into a binding contract under Nigerian law;
Not be prohibited from using the Platform under any applicable laws or
regulations;
Provide accurate, current, and complete information during registration and
at all times thereafter.

Tradxng.com reserves the right to refuse access, suspend, or permanently
terminate any account that does not meet these eligibility requirements or that
violates any provision of these Terms.

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Registration
All listings you create must be accurate, complete, and not misleading. To
access certain features of the Platform you must create an account. You agree to
provide truthful and accurate information during registration, and to keep your
account details up to date at all times.

3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account
login credentials (username and password). You agree to:

Not share your login credentials with any other person;
Not permit any unauthorised person to access your account;
Notify Tradxng.com immediately at support@tradxng.com if you suspect any
unauthorised access to or use of your account.

Tradxng.com will not be liable for any loss or damage arising from your failure
to safeguard your account credentials.

3.3 One Account Per User
Each individual or business entity may maintain only one active account on the
Platform. Creating multiple accounts to circumvent restrictions, bans, or
verification requirements is strictly prohibited and will result in permanent
termination of all associated accounts.

4. BUYER RESPONSIBILITIES

4.1 Due Diligence
It is your responsibility to conduct appropriate due diligence before entering
into any transaction with a seller on the Platform. Tradxng.com provides a
marketplace for connection and discovery but does not itself conduct the
transactions between buyers and sellers, and does not guarantee the quality,
safety, legality, or delivery of any goods or services listed on the Platform.

Verify the identity and credibility of sellers before making payment;
Inspect goods upon delivery and raise any concerns promptly;
Use traceable and secure payment methods;
Read and understand a seller’s stated terms before committing to a purchase.

4.2 Payment
Buyers are solely responsible for all payments made outside of any
Platform-supported payment mechanism. Tradxng.com strongly advises buyers to use
official, traceable payment channels (bank transfers, verified payment gateways)
and to retain all payment records. Tradxng.com shall not be liable for any
payment made directly to a seller outside the Platform.

4.3 Fraudulent Listings
If you encounter a listing you believe to be fraudulent, misleading, or in
violation of these Terms, you must report it immediately using the Platform’s
reporting feature.

5. SELLER RESPONSIBILITIES

5.1 Accuracy of Listings
All listings you create must be accurate, complete, and not misleading. You must:

Accurately describe the goods or services you are offering, including all
relevant specifications, conditions, and limitations;
Use only genuine photographs of the actual goods or your actual premises;
Set prices that reflect your genuine asking price and clearly state any
additional costs;
Keep your listings current and remove or update listings that are no longer
available.

5.2 Legal Compliance
You are solely responsible for ensuring that all goods and services you list on
Tradxng.com comply with all applicable Nigerian laws and regulations, including
but not limited to consumer protection laws, product safety standards, import and
export regulations, and tax obligations.

5.3 Fulfilment
Upon agreeing to a sale, sellers are expected to fulfil the transaction in good
faith, in accordance with the terms communicated to the buyer. Consistent failure
to fulfil agreed transactions may result in account suspension or permanent
termination.

5.4 Business Registration
Sellers operating as registered businesses in Nigeria are strongly encouraged to
include their Corporate Affairs Commission (CAC) registration details in their
seller profile.

6. PROHIBITED ITEMS AND CONDUCT

6.1 Prohibited Items
The following categories of goods and services are strictly prohibited:

Illegal drugs, narcotics, controlled substances, or drug paraphernalia;
Firearms, ammunition, explosives, or weapons (unless licensed under Nigerian
law and specifically approved by Tradxng.com);
Counterfeit, pirated, or stolen goods of any kind;
Human beings, human remains, or organs;
Child sexual abuse material or any content exploiting minors;
Endangered animals, protected species, or illegal wildlife products;
Fraudulent financial instruments, fake currency, or investment scams;
Prescription medications without valid authorisation;
Any goods or services whose sale is illegal under Nigerian law.

Tradxng.com reserves the right to remove any listing at any time, without prior
notice, if it is determined to violate this section or any other provision of
these Terms.

6.2 Prohibited Conduct

Posting false, misleading, or deceptive listings or information;
Impersonating another person, business, or entity;
Using the Platform to facilitate fraud, scams, or money laundering;
Harassing, threatening, or abusing other users;
Attempting to circumvent the Platform’s security features;
Scraping or harvesting data from the Platform without written permission;
Posting spam or unsolicited commercial messages;
Creating fake reviews or manipulating the rating system;
Using the Platform to collect personal data of users without their consent.

7. PAYMENT AND DISPUTE RESOLUTION

7.1 Transactions Between Users
Tradxng.com is a marketplace platform and facilitator. Unless explicitly stated
otherwise, Tradxng.com is not a party to any transaction conducted between users.
All payment, delivery, and fulfilment arrangements are made directly between the
buyer and seller.

7.2 Platform Fees
Tradxng.com may charge fees for certain services including featured listings,
premium subscriptions, and promotional placements. All applicable fees will be
clearly communicated prior to purchase.

7.3 Dispute Between Buyers and Sellers
In the event of a dispute, both parties are encouraged to first attempt
resolution directly and in good faith. Where direct resolution fails, users may
submit a formal dispute report to support@tradxng.com. Tradxng.com may, at its
sole discretion, offer guidance or mediation but is not obligated to resolve
disputes between users.

7.4 Chargebacks and Refunds
Any chargeback, refund, or reversal of payment made directly between users is a
matter solely between those parties and their respective financial institutions.

7.5 Fraud Reporting
Users who believe they have been defrauded must report the incident to
support@tradxng.com immediately, and are also encouraged to report to the EFCC
and the Nigeria Police Force Cybercrime Unit.

8. PRIVACY AND DATA PROTECTION

8.1 Data Collection
Tradxng.com collects personal information from users as part of the registration,
listing, and transaction processes. The types of data collected may include your
name, contact information, business details, location, payment information, and
usage data. By using the Platform, you consent to this collection and processing.

8.2 Use of Personal Data
Your personal data is used for the following purposes:

Creating and managing your account;
Facilitating transactions and communications between buyers and sellers;
Improving the Platform’s features and user experience;
Sending relevant notifications and promotional communications (where opted in);
Complying with legal and regulatory obligations;
Detecting and preventing fraud, abuse, and prohibited activities.

8.3 Data Sharing
Tradxng.com does not sell your personal data to third parties. We may share your
data with trusted service providers who assist in operating the Platform, subject
to appropriate confidentiality agreements. We may also disclose your data where
required by Nigerian law or a valid court order.

8.4 User Rights
You have the right to access, correct, or request deletion of your personal data.

8.5 Cookies
Tradxng.com uses cookies and similar tracking technologies to enhance your
browsing experience and analyse site traffic. By continuing to use the Platform,
you consent to the use of cookies in accordance with our Cookie Policy.

8.6 Data Security
Tradxng.com implements reasonable technical and organisational measures to
protect your personal data. However, no online platform can guarantee absolute
security.

9. INTELLECTUAL PROPERTY

All content on Tradxng.com owned or created by the Platform is the intellectual
property of Tradxng.com and is protected under Nigerian and international
intellectual property laws.

Users retain ownership of content they upload but grant Tradxng.com a
non-exclusive, royalty-free, worldwide licence to display, reproduce, and
distribute such content for the purposes of operating and promoting the Platform.

You must not reproduce, distribute, modify, or create derivative works from any
Platform content without express written permission from Tradxng.com.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by Nigerian law, Tradxng.com and its operators,
directors, employees, and agents shall not be liable for:

Any direct, indirect, incidental, consequential, or punitive damages arising
from your use of or inability to use the Platform;
Any losses arising from transactions conducted between buyers and sellers;
Any fraudulent, misleading, or inaccurate content posted by third-party users;
Any unauthorised access to or alteration of your data;
Any interruption, suspension, or termination of Platform services.

The Platform is provided on an “as is” and “as available” basis without
warranties of any kind, whether express or implied.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Tradxng.com and its operators,
affiliates, directors, employees, and agents from and against any claims,
liabilities, damages, losses, and expenses arising out of or in connection with:

Your use of or access to the Platform;
Your violation of these Terms;
Your violation of any applicable law or regulation;
Any content you post, list, or transmit on the Platform;
Any dispute between you and another user of the Platform.

12. TERMINATION OF ACCOUNT

Tradxng.com reserves the right to suspend or permanently terminate your account
at any time, with or without notice, if we believe you have violated these Terms,
engaged in fraudulent or harmful conduct, or for any other reason at our sole
discretion.

You may also terminate your account at any time by contacting
support@tradxng.com. Upon termination, your right to use the Platform ceases
immediately.

13. AMENDMENTS TO THESE TERMS

Tradxng.com reserves the right to modify these Terms at any time. Where changes
are material, we will notify registered users via email or a prominent notice on
the Platform at least 14 days before the changes take effect. Your continued use
of the Platform after the effective date of any revised Terms constitutes your
acceptance of the updated Terms.

14. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the
Federal Republic of Nigeria. Any disputes that cannot be resolved amicably shall
be subject to the exclusive jurisdiction of the competent courts of Nigeria.
